You confirm that you have provided us with accurate and complete registration information that is not false or misleading and which does not contain any unlawful material or content. It is your responsibility to update us with any changes to that information by logging into the system and making the necessary amendments through ‘My CV’.
If you believe there has been any breach of security such as the disclosure, theft or unauthorised use of your ID, you must notify us immediately by sending us an email. If we reasonably believe that your ID is being used in any way which is not permitted by the Terms, we reserve the right to suspend access rights immediately on giving notice to you and to block access from your ID until the issue has been resolved.
You agree that all trade marks and copyright, database rights, design rights and other intellectual property rights in the Content together with the underlying software code are owned by us and/or our licensors (as the case may be) and in any event are subject to any restrictions or prohibitions imposed by us or the owner(s) of such information (whether directly or indirectly). You also agree that any information in a non-public area of the Website (including without limitation that intended for use only by authorised user(s), and/or requiring some form of password or other code) is strictly confidential.
You understand and acknowledge that we provide the Website only as a gateway for users to review opportunities in and information about the auditing sector and we do not seek to or have any control (beyond the limited editorial rights pursuant to the Terms) over submissions or their accuracy, quality or truthfulness, and nor do we have any involvement in the negotiation or conclusion of any contract of employment arising from any information submitted to the Website. Accordingly, but subject at all times to the last sentence of this clause, we accept no liability for any loss (whether direct or indirect, for loss of business, revenue or profits, wasted expenditure, corruption or destruction of data or for any other indirect or consequential loss whatsoever) arising from your use of the Website and we hereby exclude any such liability, howsoever arising, whether in contract, tort (including for negligence) or otherwise. Except for the express provisions of the Terms we exclude all warranties, terms and other conditions, including but not limited to any warranty, term or other condition of merchantability, satisfactory quality, fitness for a particular purpose or non-infringement in every case whether implied by statute, common law, custom, collaterally or otherwise. Nothing in the Terms limits liability for death or personal injury caused by negligence, or fraud.
You shall indemnify and hold harmless us and our officers, employees, directors, shareholders, representatives, successors and assignees against any and all costs, expenses (including reasonable legal expenses), claims, losses, liabilities or proceedings arising from the use or misuse by you of this Website. In these terms and conditions:
Prices are guaranteed for the period stated on the Invoice. Prices are confidential and may not be disclosed by the Advertiser. A job posted on AccountantCareers.co.uk will remain live for 28 days or such shorter time as we agree with the Advertiser. Any extension of this time will be charged to the Advertiser as a new posting. Any jobs posted in addition to the agreed number of jobs per 28 day period will be charged at a price per job agreed with the Advertiser at the time of the contract negotiation. If no price has been negotiated, the fee stated on our Rate Card (as may be amended from time to time) will be charged for each job over the agreed number.
The Advertiser may terminate the provision of Services under any Purchase Order by no less than 30 days notice to expire at the end of a Contract Month. Termination by the Advertiser before the end of the Contract Term may, at our discretion, result in loss of discounts agreed for the entire Contract Term.
We may terminate the provision of Services if:
Our total liability to the Advertiser in respect of any Services, except for death or personal injury caused by our negligence, is limited to the total amount paid to us during the Contract Term for such Services or £5,000, whichever is the lesser.
Vacancies you post on AccountantCareers.co.uk may also appear on third party recruitment web sites pursuant to agreements from time to time between AccountantCareers Ltd and the proprietors of such web sites.
Employment agencies and employment businesses
If you are an employment agency or an employment business (as defined by the Employment Agencies Act 1973 (“the Act”)) it is your responsibility to ensure that the use you make of information from our candidate database complies with your obligations under the Act and the various regulations made under it, together with any other applicable laws and regulations. These regulations are currently contained in the Conduct of Employment Agencies and Employment Businesses Regulations 2003. You agree to comply with the Act and any other applicable laws and regulations as they affect the conduct of your business and the use you make of information on our candidate database.
You may NOT:
You agree to deal fairly and professionally with individuals you may contact using information from the candidate database and not do anything which may bring AccountantCareers Ltd into disrepute. You will indemnify AccountantCareers Ltd from and against any claim brought by an individual against AccountantCareers Ltd arising from your breach of this obligation or these terms and conditions.
Nothing in paragraph 6 shall serve to limit AccountantCareers Ltd’s liability for fraud or personal injury or death arising from our negligence.
Both parties shall keep confidential any confidential information which has been or is disclosed to it by the other. Confidential information includes, without limitation, information as to business methods, dealings or plans, not known to the other prior to disclosure, except where such information is already in the public domain (through no fault of the recipient) or where such information is required to be disclosed by any court or regulatory authority.
Any sums due under the agreed purchase order are payable without deduction or set off within 14 days, after which interest shall be payable on all outstanding sums at 3% above the base rate of National Westminster Bank from time to time, calculated daily from the date due until the date paid.
The Purchase Order and these Terms contain the entire agreement and exclude all pre-contractual representations (including any implied at law so far as legally permissible).
These Terms may be changed by us at any time. You should regularly check for updates in these Terms as you will be deemed to accept the Terms (as amended) when you next use the Website following any amendment.
Headings are inserted in this Agreement for ease of reference only and do not form part of it for the purposes of interpretation.
Failure by us to exercise or enforce any rights conferred by the Terms or at law shall not be deemed to be a waiver of any such right nor operate so as to bar the exercise or enforcement thereof at any time or times thereafter.
Any notice to be given by either party shall be in writing and delivered personally or sent by pre-paid recorded delivery or registered post or by fax to our registered address or where applicable to you at the address in your information.
If any provision of this Agreement is determined to be illegal or unenforceable by any court of competent jurisdiction it shall be deemed to have been deleted without affecting the remaining provisions.
AccountantCareers Ltd. reserves the absolute right, without giving any reasons, to decline, cancel or remove any Advertisement or provision of Services for any reason and at any time without prior notice.
For Advertisers: each Subscription is for a single organisation only as included in your registration information. On registration, you will be allocated a user name and password (“ID”). You may choose to authorise your employees (together “Users”) to use your ID whilst carrying out the business of your organisation. You are responsible for all use of the Services by all such Users and anyone else using your ID and for preventing unauthorised use of your ID.
These Terms and any dispute arising of whatever nature shall be governed by English law and shall be heard under the sole jurisdiction of the English Courts.
